1. Operator and Scope of These Terms

The Pratensia website and online store are operated by PENGJIELIMR INC (“Pratensia”, “we”, “us”, or “our”).

Our company details are provided at the end of these Terms.

These Terms of Service (“Terms”) govern your access to and use of pratensia.com (the “Site”), including purchases made through the Site.

Our Privacy Policy, Return & Refund Policy, Shipping & Delivery Policy, and any other policies expressly referenced in these Terms form part of the terms applicable to your use of the Site and purchases from us.

By placing an order or otherwise using the Site, you agree to these Terms to the extent permitted by applicable law.

Nothing in these Terms excludes or limits rights that cannot lawfully be excluded or limited.

2. Eligibility and Lawful Use

You may use the Site only for lawful purposes.

If you are not legally capable of entering into a binding contract in your jurisdiction, you may use the Site or place an order only with the involvement and authorization of a parent, guardian, or other person legally permitted to act on your behalf.

You must not:

Use the Site for unlawful or fraudulent purposes
Interfere with the security or operation of the Site
Introduce malware or malicious code
Attempt unauthorized access to our systems or accounts
Infringe intellectual property, privacy, or other legal rights
Use automated means to access or extract information from the Site in a manner prohibited by applicable law or these Terms

We may reasonably restrict or suspend access where necessary to protect customers, our systems, our legal rights, or to comply with applicable law.

3. Products and Product Information

We aim to describe and display products accurately.

However, colors and appearance may vary depending on your screen, device, lighting, and other factors.

Minor differences that do not materially affect the nature or quality of a product may occur.

Nothing in these Terms limits your rights where a product is defective, unsafe, materially different from its description, not of satisfactory or legally required quality, or otherwise fails to meet mandatory consumer protection requirements.

Product availability may change and products may be discontinued.

4. Prices

Prices displayed on the Site may change from time to time.

A price change will not normally affect an order that we have already accepted, except where correction is permitted or required by applicable law.

Applicable shipping charges, taxes, duties, or other charges will be displayed or communicated as required before an order becomes binding.

If we discover an obvious pricing or description error, we may contact you before fulfilling the affected order. Where permitted by law, you may be offered the choice to proceed at the correct price or cancel the affected item or order for a refund.

5. Orders and Acceptance

Submitting an order constitutes an offer to purchase the products in that order.

We may accept, reject, or cancel an order where reasonably necessary, including because:

A product is unavailable
Payment cannot be authorized
Information supplied with the order is materially inaccurate
We reasonably suspect fraud or unauthorized activity
Quantity restrictions apply
Fulfilment would violate applicable law, sanctions, or regulatory requirements
An obvious pricing or listing error has occurred

We will not refuse or cancel an order for an unlawful discriminatory reason.

If we cancel an order after receiving payment, we will refund the amount paid for the cancelled item or order in accordance with applicable law and our refund procedures.

6. Payment

You agree to provide accurate and complete billing and payment information.

Payments may be processed by Shopify and/or independent payment service providers.

Your use of payment services may also be subject to the applicable provider’s terms and privacy practices.

We remain responsible for our own obligations as the seller to the extent required by applicable law.

7. Shipping and Delivery

Shipping methods, estimated delivery times, geographical restrictions, and related terms are described in our Shipping & Delivery Policy.

Delivery estimates are estimates unless expressly stated otherwise or applicable law provides otherwise.

We will remain responsible for shipping and delivery obligations to the extent required by applicable consumer law.

Nothing in these Terms transfers to you risks that applicable law requires us to bear.

8. Returns, Refunds, and Statutory Remedies

Our Return & Refund Policy explains our standard return and refund procedures.

That policy is in addition to, and does not replace or reduce, any mandatory right or remedy available to you under applicable consumer law.

Depending on the law that applies to your purchase, you may have statutory rights relating to defective, unsafe, misdescribed, non-conforming, delayed, or undelivered products.

Where mandatory law provides a longer return period, cancellation right, warranty, repair right, replacement right, refund right, or other consumer remedy than our voluntary policy, the mandatory legal right applies.

9. Site Information and Availability

We take reasonable steps to keep information on the Site accurate and the Site available.

However, temporary interruptions, technical errors, maintenance, or information errors may occur.

We may correct errors and update the Site where reasonably necessary.

We do not promise that the Site will always operate without interruption or that every non-material error will immediately be corrected.

Nothing in this section limits liability or remedies that cannot legally be excluded.

10. Third-Party Services and Links

The Site may contain links to or integrations with third-party websites, platforms, payment providers, analytics services, social networks, or other independent services.

Those third parties may operate under their own terms and privacy policies.

We are not responsible for the independent acts or omissions of third parties that are outside our reasonable control.

However, nothing in these Terms excludes responsibility that applicable law places on us in relation to our own conduct, the products we sell, our selection or use of service providers, or any other matter for which liability cannot lawfully be excluded.

11. Intellectual Property

Unless otherwise stated, the Site and the materials created or owned by us, including our branding, text, graphics, photographs, layout, and other original content, are protected by applicable intellectual property laws.

You may use the Site for personal, lawful shopping purposes.

You may not reproduce, distribute, commercially exploit, or otherwise use our protected material without authorization, except where permitted by applicable law.

Third-party trademarks and content remain the property of their respective owners.

12. Customer Content and Communications

If you submit a review, comment, photograph, feedback, or other content to us, you confirm that you have the right to provide that content and that doing so does not unlawfully infringe another person’s rights.

Where you voluntarily submit content for publication, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and adapt that content for operating and promoting our business, subject to applicable privacy and consumer laws.

This license does not transfer ownership of your content to us.

We may remove content where reasonably necessary because it is unlawful, infringing, fraudulent, abusive, misleading, or otherwise violates these Terms.

13. Consumer Guarantees and Mandatory Rights

Products sold through the Site remain subject to all warranties, guarantees, quality standards, safety obligations, conformity requirements, and other consumer protections that apply by law.

Nothing in these Terms is intended to:

Exclude liability for defective or unsafe products where such liability cannot legally be excluded
Exclude or restrict statutory warranties or guarantees that cannot legally be waived
Prevent you from seeking a repair, replacement, refund, damages, or another remedy available under mandatory law
Restrict your right to make a complaint to a regulator or consumer protection authority
Restrict any right to bring legal proceedings or use another dispute resolution mechanism where such restriction would be unlawful

If these Terms conflict with a mandatory consumer protection rule applicable to you, the mandatory rule prevails to the extent of the conflict.

14. Liability

We are responsible for losses or damage to the extent required by applicable law.

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability that applicable law does not permit us to exclude or limit.

In particular, nothing in these Terms is intended to exclude or limit liability for:

Death or personal injury where liability cannot lawfully be excluded
Fraud or fraudulent misrepresentation
Wilful misconduct or gross negligence where applicable law prohibits limitation
Breach of mandatory consumer rights
Defective or unsafe products where liability cannot lawfully be excluded
Any other liability that applicable law requires us to bear

To the extent permitted by applicable law, we are not responsible for losses that are not reasonably foreseeable consequences of our breach or for losses caused solely by circumstances outside our reasonable control.

If you purchase products as a consumer, we do not exclude liability for ordinary losses caused by our failure to perform our legal or contractual obligations.

We do not use these Terms to exclude statutory remedies available to consumers.

15. Suspension and Termination

We may suspend or terminate access to the Site where reasonably necessary because of serious misuse, fraud, security threats, unlawful activity, or material violation of these Terms.

Termination or suspension does not affect rights and obligations that arose before termination, including rights relating to orders already accepted, payments, refunds, complaints, or statutory remedies.

16. Changes to These Terms

We may update these Terms from time to time for legal, regulatory, operational, security, or business reasons.

The version applying to an order will generally be the version in effect when that order is placed, unless applicable law requires otherwise.

Changes will not retroactively remove rights you have already acquired under an accepted order or mandatory law.

The latest version will be made available on the Site with an updated revision date.

17. Governing Law and Disputes

These Terms and contractual relationships between you and PENGJIELIMR INC are governed by the laws of the State of Colorado and applicable federal laws of the United States, without prejudice to any mandatory consumer protection law that applies to you in your country or place of habitual residence.

If you are a consumer, this choice of law does not deprive you of protections granted by mandatory provisions of law that would apply to you regardless of this choice.

If a dispute arises, we encourage you to contact us first at support@pratensia.com so that we can attempt to resolve the matter directly and in good faith.

Unless mandatory law provides otherwise, the competent state and federal courts serving Pueblo County, Colorado, United States will have non-exclusive jurisdiction over disputes arising from or relating to these Terms.

If applicable consumer law gives you the right to bring proceedings in another competent court, use a consumer dispute resolution body, complain to a regulator, or pursue another legally protected dispute-resolution mechanism, nothing in these Terms restricts that right.

Nothing in this section requires a consumer to waive a legally protected right to choose litigation, arbitration, administrative complaint, or another dispute-resolution procedure where such a waiver would be unlawful.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, it will be interpreted or limited only to the minimum extent necessary under applicable law.

The remaining provisions will continue in effect to the extent legally permitted.

19. Entire Agreement

These Terms, together with the policies expressly incorporated into them, constitute the agreement governing use of the Site and purchases from us, subject always to applicable mandatory law.

No provision of these Terms overrides a statutory right that cannot legally be waived.
